Job Description

Thompson Thrift is seeking a Full- Time Vice President Associate General Counsel to support the Thompson Thrift Retail Group (TTRG) to work out of the corporate office in Indianapolis, IN. As the Associate General Counsel (TTRG), you will provide direct legal support to the TTRG team in all phases of retail and mixed use project development from execution of the purchase and sale agreement for acquisition of new property and pre-leasing efforts through execution of the disposition of the fully developed asset. 

In this position, you will also provide additional support to TTRG’s Property Management team on an as needed basis. You will negotiate, draft, review, research, process and document a wide variety of agreements for TTRG, including, without limitation, retail tenant leases and guaranties, SNDA agreements, franchise addendums, lessor’s agreements/lien subordination agreements, declarations, covenants and restrictions, easements, development agreements, utility agreements, consulting agreements, license agreements, confidentiality agreements, property management agreements and other real estate development documents supporting TTRG projects.

 Duties and Responsibilities

  • Negotiation and drafting a full range of commercial leases, including leases for in-line space, freestanding single and multiple tenant buildings, ground leases, build to suit, and reverse build to suit transactions (both on landlord’s form and tenant’s form), and other lease-related documents.  
  • Preparation and management of declarations of restrictions and easements, including identifying need for amendments as projects develop, tenants/occupants are added, and parcels are sold.  
  • Ownership of landlord’s form lease, including crafting new and creative provisions to reflect best practices and current directives from executive management.
  • Issue spotting and legal counsel on a variety of commercial/retail and land development issues and business strategy impacting all aspects of project development.

Additional Responsibilities

  • Partnering with TTRG Property Management team in identifying tenants at risk of default and providing solutions for resolving past due balances.
  • Management of a large volume of projects in multiple geographic regions with competing and shifting deadlines.
  • Engaging local counsel on an as-needed basis to assist with tenant collections and site-specific items.
  • Advise executive team on contract status, legal risks and business terms of various deals.
  • Explaining meaning of legal language in a way that is easy for non-legal staff to comprehend.
  • Research and resolution of unique legal issues by identifying applicable statutes, judicial decisions, and codes.
  • Keeping abreast of legislative changes that may affect retail development and the company as a whole.
  • Developing creative solutions to complex legal questions.
  • Providing training to all business units on substantive legal topics.
  • Other duties and projects as assigned.

Experience/ Education

  • 10+ years of experience, including some prior management experience.
  • Bachelor's degree, Juris Doctorate degree from an ABA accredited law school, and an active license to practice law in the State of Indiana required.
  • Has extensive experience with the concepts and principles of retail real estate development, including but not limited to leasing, pursuit of entitlements, and financing.  Must be familiar with best practices for managing retail tenant exclusive uses.
  • Contributes to strategic planning, direction, and goal setting for the department.  Regular interaction and collaboration with senior management.
  • Establishes departmental policies, practices, and procedures that have a significant impact on the organization.
